Terms of Service — Mosaic Atelier Studio

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the services provided by Mosaic Atelier Studio (“Mosaic Atelier Studio”, “we”, “us”, or “our”), a design studio operating in Singapore. By engaging our services, requesting a quotation, signing a proposal or statement of work, making payment, or otherwise instructing us to commence work, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

If you do not agree to these Terms, you must not engage our services or use any deliverables provided by Mosaic Atelier Studio. These Terms apply in addition to any proposal, quotation, statement of work, purchase order, invoice, or written agreement issued by Mosaic Atelier Studio. In the event of any inconsistency, the signed proposal or statement of work shall prevail to the extent of that inconsistency, unless expressly stated otherwise.

2. Scope of Services

Mosaic Atelier Studio provides creative and design services, which may include, without limitation:

  • Brand identity design
  • Logo design
  • Website and UI/UX design
  • Packaging design
  • Marketing collateral design
  • Environmental graphics
  • Creative direction and art direction

The exact scope, deliverables, timelines, number of revisions, file formats, and project milestones will be set out in the applicable proposal, quotation, or statement of work. Any services not expressly included are excluded unless agreed in writing by Mosaic Atelier Studio.

Unless otherwise agreed in writing, our services are creative and advisory in nature. We do not provide legal, financial, regulatory, or technical compliance advice. You remain solely responsible for ensuring that all materials, claims, product information, regulatory disclosures, and business practices associated with your project comply with applicable laws and industry requirements.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, complete, and timely information, materials, approvals, and feedback required for the project;
  • Ensure that all content, trademarks, images, text, data, and other materials supplied to us are lawful and do not infringe the rights of any third party;
  • Obtain all necessary permissions, licences, consents, and clearances for any materials you provide or request us to use;
  • Review all deliverables carefully and notify us promptly of any errors, omissions, or concerns;
  • Use deliverables only for the purposes and channels agreed in writing;
  • Not misuse, reverse engineer, resell, or exploit our work in a manner inconsistent with these Terms or the applicable agreement.

You acknowledge that delays caused by your failure to provide timely feedback, approvals, content, or payment may affect project timelines, and Mosaic Atelier Studio shall not be liable for such delays.

4. Payment Terms and Conditions

Fees will be set out in the applicable quotation, proposal, or statement of work. Unless otherwise agreed in writing:

  • A deposit may be required before work commences;
  • All fees are stated in Singapore Dollars (SGD) unless otherwise specified;
  • Invoices are payable within the period stated on the invoice;
  • All fees are exclusive of applicable taxes, duties, bank charges, and third-party costs unless expressly stated;
  • Any third-party expenses approved by the Client will be billed to the Client in addition to our professional fees.

If payment is not received by the due date, Mosaic Atelier Studio may suspend work, withhold deliverables, delay project milestones, or terminate the engagement, without prejudice to any other rights or remedies available to us. Late payments may accrue interest at the maximum rate permitted by applicable law, or if no such rate is specified, at a reasonable commercial rate.

Unless expressly stated otherwise, all payments are non-refundable once work has commenced, except where required by applicable law or as set out in these Terms.

5. Cancellation and Refund Policy

Either party may cancel a project by providing written notice, subject to the terms of the applicable proposal or statement of work. Upon cancellation:

  • The Client shall pay for all work completed, time spent, expenses incurred, and non-cancellable commitments made up to the effective date of cancellation;
  • Any deposit paid is non-refundable to the extent it covers work already commenced, reserved capacity, or administrative costs;
  • Any third-party costs incurred on the Client’s behalf are non-refundable;
  • Mosaic Atelier Studio may retain all work-in-progress until outstanding amounts are paid in full.

Refunds, if any, are granted only at our sole discretion or where required by law. No refund will be provided for completed work, approved deliverables, or delays caused by the Client.

If a project is paused by the Client for more than 30 days without written agreement, Mosaic Atelier Studio may treat the project as cancelled and invoice for work completed and costs incurred.

6. Liability Limitations

To the fullest extent permitted by Singapore law, Mosaic Atelier Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, loss of data, or business interruption, arising out of or in connection with our services or these Terms, whether in contract, tort, negligence, strict liability, or otherwise.

Our total aggregate liability for any claim arising out of or relating to the services shall be limited to the total fees actually paid by the Client to Mosaic Atelier Studio for the specific project giving rise to the claim, except where such limitation is not permitted by law.

We do not warrant that deliverables will be error-free, fit for a particular purpose, or accepted by third parties, platforms, printers, regulators, or other service providers. You are responsible for final proofing, testing, implementation, and obtaining any necessary approvals before publication or production.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all preliminary concepts, drafts, working files, methodologies, processes, templates, and design techniques remain the intellectual property of Mosaic Atelier Studio.

Upon full payment of all amounts due, and subject to any third-party rights, the Client will receive the rights expressly assigned or licensed in the applicable proposal or statement of work in respect of the final approved deliverables. If no specific assignment is stated, Mosaic Atelier Studio grants the Client a non-exclusive, non-transferable licence to use the final deliverables solely for the agreed project and intended business purpose.

The Client acknowledges that:

  • Third-party fonts, stock assets, software, plugins, images, or other materials may be subject to separate licence terms;
  • Any such third-party materials remain subject to their respective owners’ rights and licence conditions;
  • Mosaic Atelier Studio may retain ownership of unused concepts and rejected designs;
  • We may display completed work in our portfolio, website, social media, award submissions, and marketing materials, unless otherwise agreed in writing or prohibited by law.

The Client warrants that any materials supplied to Mosaic Atelier Studio do not infringe the intellectual property or other rights of any third party and that the Client has the right to authorise our use of such materials for the project.

8. Data Protection and Privacy

Mosaic Atelier Studio will collect, use, disclose, and store personal data in accordance with the Singapore Personal Data Protection Act 2012 (“PDPA”) and our internal data handling practices.

We may collect personal data such as names, contact details, billing information, project communications, and other information necessary to provide our services, manage client relationships, process payments, and comply with legal obligations.

We may use personal data for the following purposes:

  • Providing and managing our services;
  • Communicating with you about projects, invoices, and support;
  • Maintaining records and internal administration;
  • Improving our services and business operations;
  • Complying with legal, regulatory, tax, and accounting requirements.

We will take reasonable security measures to protect personal data in our possession or control. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

By engaging our services, you consent to our collection, use, and disclosure of personal data as described in these Terms and in accordance with applicable law. If you provide us with personal data of third parties, you represent and warrant that you have obtained all necessary consents and authorisations.

9. Force Majeure

Mosaic Atelier Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labour disputes, power failures, internet outages, government actions, or failures of third-party service providers.

In the event of force majeure, the affected obligations will be suspended for the duration of the event. We will use reasonable efforts to resume performance as soon as practicable.

10. Changes to Terms

Mosaic Atelier Studio may update or revise these Terms from time to time to reflect changes in our services, business practices, or applicable law. The updated Terms will take effect upon publication on our website or upon written notice to the Client, unless otherwise stated.

Continued engagement of our services after the effective date of any revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must cease using our services and notify us in writing.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore.

Subject to any mandatory legal requirements, the courts of Singapore shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, the services, or any related agreement.

13. Severability Clause

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or competent authority, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Where any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be deemed modified to the minimum extent necessary to achieve that result, consistent with the original intent of the parties and applicable law.

Entire Agreement: These Terms, together with any applicable proposal, quotation, statement of work, and invoice, constitute the entire agreement between the parties concerning the subject matter and supersede prior discussions or understandings, whether oral or written, to the extent permitted by law.
